These Terms and Conditions apply to all services offered by MaxCode IT Services, including but not limited to website development, software development, SaaS products, app development, and related IT services. By approving a quotation, sharing confirmation on call/message/email, or making any project payment, the client is deemed to have accepted all terms listed below.
All charges, pricing, and quotations shared by MaxCode IT Services are based on the current date and prevailing market/service-provider rates at the time of quotation. These charges may increase or decrease in the future due to provider pricing revisions, policy changes, taxes, currency fluctuation, or project scope changes.
The standard payment structure for all development projects is as follows:
Project planning, team assignment, and work initiation will begin only after receipt of the required advance amount.
When a milestone is reached, the corresponding invoice becomes payable. If payment is delayed:
The approved quotation/proposal defines the project scope. Any requirement beyond that scope will be considered out-of-scope and charged separately. Out-of-scope items include, but are not limited to:
All advance and partial payments are non-refundable once project execution has started. This is because resources, planning hours, technical setup, and production efforts are allocated specifically for the client project.
Final delivery/handover includes deployment credentials, admin access, and source files (where applicable) only after complete payment clearance. MaxCode IT Services reserves the right to hold deployment, publish rights, or handover until pending dues are settled.
After project completion, MaxCode IT Services will provide 15 days of basic support from the date of delivery at no additional cost. This support period covers minor fixes and issue resolution related to delivered work only. After the 15-day support window, all maintenance, upgrades, content updates, and server/application monitoring will be chargeable. Separate AMC/support plans may be offered depending on project type.
If a client cancels a project after commencement, advance payment will remain non-refundable. Cancellation charges will be calculated on the basis of completed work, consumed hours, purchased services, and resource blocking. If the value of completed work is higher than the advance amount paid by the client, the client must clear the remaining balance payment based on actual work completed up to the cancellation date.
MaxCode IT Services may display completed project details, screenshots, logos, and summary case studies on portfolio pages, presentations, and social channels for demonstration and marketing purposes, unless restricted through a mutually signed NDA.
All ownership, intellectual property rights, and licensing control of SaaS products or platforms developed and operated under the MaxCode SaaS model remain exclusively with MaxCode IT Services. Clients are granted only the agreed usage rights and do not receive source code or ownership rights unless separately agreed in writing.
For custom software development projects, ownership transfer to the client is applicable only after:
Third-party libraries, frameworks, APIs, and tools used in the development remain subject to their respective licenses and are not transferred as client ownership.
Any proprietary libraries, frameworks, or internal tools developed by MaxCode IT Services remain the private property of MaxCode IT Services. The client is granted a limited, non-transferable usage right only within the specific software/project developed by MaxCode IT Services.
These proprietary components may not be extracted, resold, distributed, or reused in other projects without prior written permission from MaxCode IT Services.
Project timelines depend on timely client feedback, approvals, content, credentials, and required materials. The client is responsible for sharing all required inputs and confirmations on time.
Any delay in providing these may extend the project timeline accordingly, and MaxCode IT Services shall not be responsible for delays or timeline extensions caused by client-side dependencies.
Once the project is completed and testing credentials are shared with the client, the client is expected to review and respond within 15 days. If no response is received after three follow-ups during this period, the project will be considered completed as per the approved requirements and closed from MaxCode IT Services' side.
If the client fails to clear the pending payment, delays payment, or repeatedly postpones payment after follow-ups, MaxCode IT Services reserves the right to suspend delivery, access, or further services until the payment is cleared.
If the payment remains unpaid for more than 20 days after project completion, MaxCode IT Services reserves the right to reuse, modify, or resell the developed software or solution to other clients.
In such cases, if the original client later wishes to continue or reclaim the project, it may be treated as a new development request, and fresh development charges may apply without adjustment of any previously paid amount.
For Android app projects, Google Play Store may take:
This Google-controlled review period is not under the control of MaxCode IT Services and is not included in the committed development timeline.
Any delays caused by Google Play Store review or policy checks are beyond the responsibility of MaxCode IT Services.
If a client wants a non-transactional Android app (where payments are not received through the app) to be published from MaxCode IT Services' Google Play Console account, only a publishing fee of INR 3000 will be applicable.
If the client wants the app to be published from the client's own personal/company Play Store account, all Play Store account-related charges payable to Google shall be paid by the client separately. In addition, a publishing service fee of INR 3000 will also be payable to MaxCode IT Services.
If the client continues taking services from MaxCode IT Services, repeated publishing/update charges may not be applied in most regular cases at MaxCode's discretion. However, if the client shifts services to another provider and later requests MaxCode IT Services to publish or update the app on Google Play Store, update/publishing charges will be applicable each time.
Apple App Store account charges/subscription fees, where applicable, shall be borne by the client and are subject to annual renewal as per Apple policy.
GST and other applicable taxes will be charged as per Government of India rules on all invoices, including advance payment invoices. Tax rates and compliance requirements are subject to statutory updates.
All prices, services, plans, and subscription charges mentioned in quotations, proposals, or discussions are exclusive of GST unless explicitly stated otherwise. GST will be charged extra as applicable.
Domains, hosting, servers, cloud storage, SMTP services, APIs, and other third-party services may be billed or renewed monthly, quarterly, or annually, depending on the respective provider's policies. All renewal and recurring charges for such services shall be the responsibility of the client.
If a quotation or proposal explicitly includes domain, hosting, server, storage, or other related third-party services for a specific period, with the cost already included, MaxCode IT Services will provide those services only for the included duration. After the included period ends, renewal shall be the responsibility of the client.
If a free or included domain is mentioned in the quotation and provided by MaxCode IT Services, it will be limited to a .in domain extension only (subject to availability). If the client chooses .com, .org, .net, or any other premium or international domain extension, the additional domain registration cost shall be payable by the client.
After the expiry of the included duration, the client may renew the services through MaxCode IT Services or directly with the respective service provider. Any renewal, migration, setup, configuration, or management charges may be billed separately unless otherwise agreed in writing.
MaxCode IT Services shall not be held liable for any indirect, incidental, or consequential losses arising from third-party platform outages, domain or hosting failures, app store policy changes, payment gateway downtime, cyber incidents, or force majeure events beyond reasonable control.
In case of data loss due to third-party server issues, hosting failures, cyber incidents, client-side actions, accidental deletion, or any reason beyond reasonable operational control, MaxCode IT Services shall not be held responsible or liable for such loss.
All disputes, claims, or legal proceedings related to services, payments, deliverables, or interpretation of these terms shall be subject to the exclusive jurisdiction of Dausa, Rajasthan, India.
Unless explicitly agreed in writing, source code, development frameworks, internal libraries, and development tools used in the project remain the property of MaxCode IT Services.
Clients may receive compiled builds, deployed applications, or agreed deliverables, but access to source code repositories or internal development assets is not included unless separately contracted.
MaxCode IT Services reserves the right to suspend services, restrict access, or pause project delivery if invoice payments remain unpaid beyond the agreed payment period.
Services may resume only after full settlement of pending dues, including any applicable late fees.
Unless specifically mentioned in the quotation/proposal, revision cycles are limited and must remain within the approved project scope. Any additional revisions, redesign requests, or repeated change requests beyond the agreed limit will be treated as extra work and billed separately.
If the client requests changes to the same item more than two times, then from the third change onward, additional charges will be applicable and payable by the client.
After delivery of staging or testing credentials, the client is expected to complete User Acceptance Testing (UAT) and provide consolidated feedback within the communicated review period. If no material issues are reported within the review window and follow-up reminders are sent, the deliverable may be deemed accepted as per the approved requirements.
Both parties agree to keep confidential business, technical, and customer-related information private and use it only for project purposes. Unless required by law or authorized in writing, such information shall not be disclosed to third parties.
MaxCode IT Services reserves the right to refuse, suspend, or terminate services if a project is found to involve unlawful activity, copyright infringement, fraud, phishing, malware distribution, or any content/services prohibited by applicable law or platform policies.
If any clause of these Terms is held invalid or unenforceable, the remaining clauses shall continue in full force and effect. MaxCode IT Services may update these Terms from time to time, and the latest published version shall apply to ongoing and future services unless otherwise agreed in writing.
By proceeding with project confirmation or payment, the client confirms that they have read, understood, and accepted all terms and conditions stated on this page.
